Client Alert – Misleading 2025 Annual Report Solicitations for Maine Entities

You may receive or have received in the mail a form titled “2025 – Annual Report Instruction Form” urging you to complete the form for your entity or entities, and pay a $210 fee to C.F.S. to assist you with timely filing of your entity’s Annual Report prior to the end of 2024. This is NOT an official document from the Maine Secretary of State’s office – it is a misleading and potentially fraudulent offer to file your 2025 Annual Report on your behalf. Please note that 2025 Annual Reports will not be available until January 1, 2025, and filings are completed through the official Maine Secretary of State’s website.

Once 2025 Annual Report filing is made available (starting January 1, 2025), all Annual Reports will be due by June 1; where an Eaton Peabody attorney serves as your entity’s Clerk or Registered Agent, we will contact you to obtain the information needed to file the Annual Report, and file it on your behalf, unless you  have instructed us otherwise, in which case filings should be completed online through the Secretary of State’s website with an associated annual filing fee of $85 for domestic corporate entities (including corporations and limited liability companies), $35 for non-profit corporations, and $150 for foreign business entities.

NOTE: You may receive an authentic communication from the Maine Secretary of State’s Division of Corporations entitled “New Federal Reporting Requirement for Beneficial Ownership Information” regarding the reporting requirements under the Corporate Transparency Act (CTA) for all new and existing entities. More information can be found on our website, and the Beneficial Ownership Information Reports (BOIR) and instructions can be found on the U.S. Treasury’s Financial Crimes Enforcement Network website (https://boiefiling.fincen.gov/).
